Case Study 01 — Business Formation
Situation
A European technology company wished to establish a Thai subsidiary to handle regional operations. They had received conflicting advice from two other parties about the most appropriate structure under the Foreign Business Act.
What We Did
Dharma Counsel reviewed the company's intended activities against the FBA restricted list and advised on a shareholding structure that met legal requirements without unnecessary complexity. Memorandum and articles were drafted and submitted to the DBD within the engagement scope.
Outcome
Company registered within three weeks. Client had a clear legal structure with documentation in both Thai and English, and a written summary of ongoing obligations for internal compliance reference. No subsequent issues arose at the DBD level.
Case Study 02 — Contract Review
Situation
A Thai manufacturer received a five-year exclusive distribution agreement from a potential overseas partner. The document was heavily favoured toward the foreign party and contained a jurisdiction clause that would have created significant practical difficulty in any dispute.
What We Did
The agreement was reviewed within seven business days. A marked-up version identified fourteen areas requiring amendment, with the most significant being the jurisdiction clause, the exclusivity termination conditions, and the intellectual property rights over branding materials. Alternative language was proposed for each.
Outcome
The client negotiated eleven of the fourteen changes successfully. The revised agreement established Thai jurisdiction for disputes and included mutual termination conditions. The distribution relationship proceeded on materially improved terms from the client's perspective.
Case Study 03 — Corporate Governance
Situation
A mid-sized Thai enterprise preparing for Series B investment had identified that its corporate governance documentation was insufficient for investor due diligence. Board meeting records were incomplete, compliance policies were absent, and regulatory filing history had gaps.
What We Did
The six-month governance program began with a full compliance assessment. A remediation plan addressed the most critical gaps in the first three months, including retroactive board documentation, policy drafting, and regulatory filing review. Quarterly reviews tracked progress against the plan.
Outcome
By the end of the program, the company had a complete governance documentation set, written compliance policies, and a clean regulatory filing record. The investment due diligence process proceeded without significant governance-related obstacles. Series B completed three months after program completion.
