1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Firm" / "We" / "Us" / "Our" — Dharma Counsel, a legal practice registered and operating in Bangkok, Thailand.
- "User" / "You" — any person or entity accessing our website or engaging our services.
- "Client" — a person or entity that has entered into an engagement agreement with the Firm.
- "Services" — the legal advisory services provided by the Firm, as described on this website and in individual engagement agreements.
- "Agreement" — the engagement letter or scope document agreed between the Firm and a Client prior to commencement of services.
- "Content" — all materials, documents, and information published on or through this website.
2. Acceptance of Terms
By accessing this website or engaging the Firm's services, you accept these Terms and Conditions in full. If you disagree with any part of these terms, you must not use our website or services.
These terms apply to individuals and legal entities aged 18 and over (or the legal minimum age of majority in your jurisdiction) with the legal capacity to enter binding agreements. By engaging our services, you represent that you meet these requirements.
3. Service Description
Dharma Counsel provides legal advisory services to businesses and individuals in Thailand, including: business formation and registration, contract review and drafting, and corporate governance and compliance programs. Full descriptions of each service are provided on our Solutions page.
Services are provided to clients located in Thailand and internationally. All substantive legal work is conducted under Thai law. Where matters involve other jurisdictions, we will advise if specialist referral is appropriate.
4. Engagement and Client Agreements
No legal engagement is formed until a written engagement letter or scope agreement has been signed by both parties and the Firm has received any required initial fee. Website enquiries and consultations do not constitute the commencement of a legal engagement.
Each engagement agreement will specify: the scope of services, the fee and payment terms, the timeline, and any specific terms applicable to the matter. In the event of conflict between these Terms and a specific engagement agreement, the engagement agreement will prevail.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete, and timely information required for the services
- Not use our website or services for unlawful purposes
- Not attempt to gain unauthorised access to our systems or data
- Not reproduce, redistribute, or commercially exploit website content without prior written consent
- Maintain the confidentiality of any access credentials provided
6. Intellectual Property
All content on this website — including text, graphics, design elements, and branding — is the intellectual property of Dharma Counsel or its content providers. You may view and print content for personal, non-commercial reference only.
Work product delivered to clients under an engagement (documents, reviews, reports) is owned by the client upon full payment, subject to the Firm retaining the right to use underlying templates, precedents, and methodologies in other matters.
The Firm's name, logo, and branding may not be reproduced without written permission.
7. Payment Terms
Fees are specified in each engagement agreement and denominated in Thai Baht (฿). Unless otherwise agreed:
- An initial fee may be required before work commences
- Final balances are due on delivery of the agreed deliverable
- Payment may be made by bank transfer to the account specified in the engagement letter
- Late payments may accrue interest at the statutory rate under Thai commercial law
Refund Policy
Where an engagement is terminated by the client after commencement, fees are payable for work completed up to the point of termination. Fees already paid are non-refundable except where the Firm has failed to deliver the agreed scope without reasonable cause.
8. Confidentiality
The Firm maintains professional confidentiality over all client matters in accordance with Thai Bar Association standards. Client information will not be disclosed to third parties except as required by Thai law, court order, or with the client's written consent.
9. Disclaimers
The content on this website is provided for informational purposes only and does not constitute legal advice. Reading or relying on website content does not create an attorney-client relationship.
Legal outcomes depend on many factors beyond the Firm's control. Nothing in our communications or engagement materials constitutes a guarantee or assurance of a particular result. All advice is given as professional opinion based on the information available at the time.
10. Limitation of Liability
To the extent permitted by Thai law, the Firm's liability for any claim arising from services is limited to the fees actually paid for the specific engagement giving rise to the claim. The Firm is not liable for indirect, consequential, or incidental losses.
Nothing in these terms limits liability for: death or personal injury caused by negligence, fraudulent misrepresentation, or any liability that cannot be limited under applicable Thai law.
11. Indemnification
You agree to indemnify and hold harmless Dharma Counsel and its attorneys from any claims, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or inaccurate or incomplete information you provide to us.
12. Termination
Either party may terminate an engagement by written notice. The Firm may terminate or suspend services where: fees remain unpaid after notice, the client has provided materially false information, or continuing the engagement would require the Firm to act contrary to its professional obligations.
Upon termination, outstanding fees for completed work become immediately due. Confidentiality obligations and intellectual property terms survive termination.
13. Governing Law and Dispute Resolution
These Terms and any engagement with Dharma Counsel are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
In the first instance, we encourage clients to raise any concern with us directly, as most matters can be resolved through direct communication without formal proceedings.
14. General Provisions
Entire Agreement: These Terms, together with any engagement agreement, constitute the entire agreement between the parties.
Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
No Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
Assignment: You may not assign your rights or obligations under any engagement without prior written consent of the Firm.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or engagement with our services after the updated effective date constitutes acceptance of the revised terms. Material changes will be noted on this page with an updated "Last Updated" date.
